How to integrate a background image, positioned semi-transparent black, and positioned text

Hello, everyone
I am a new user of IM and has a question.
How to integrate a background image, positioned semi-transparent background color, and positioned text within an image?
Like this:
Background picture: A.png, 1280x720
Semi-transparent black: B.png, 1280x192, 50% transparent
White text: at the center of semi-transparent black

Could any one teach me how to implement it with the command line?
